Associate Legal Counsel – International and Federal Commercial Contracts
What part will you play?
This remote based Associate Legal Counsel position provides accurate and timely counsel to our sales and operations organizations to address and resolve legal issues and ensure legal conformity. In addition to day-to-day contract review assistance, we are looking for an attorney to specifically manage our International and U.S. Federal Government engagements.
What will you be doing?
The job responsibilities of the Associate Legal Counsel include the following:
- Provide accurate, timely, business-oriented legal advice to all levels of company management in connection with obtaining and performing contracts and subcontracts on U.S. Government programs;
- Advise company management on international pursuits and contract performance, as well as commercial activities and a wide variety of other legal matters facing the company.
- Review, negotiate, and administer client contracts, working with Sales to negotiate changes to standard terms.
- Review the company’s vendor/dealer agreements – standardizing, organizing, and assisting in negotiations of key terms and conditions.
- Review any proposed modifications to the company’s standard master subcontractor agreements – and negotiation of modifications until the final agreement is signed by both parties.
- Execute and maintain the company’s business and contractor licenses, ensuring compliance and tracking renewals when and if needed as a backup on this task.
- Assist in the development and monitoring of operational internal governance policies and authorities.
- Provide legal support to purchasing, sales, finance, and various internal departments with a variety of legal matters ranging from subcontractor disputes, vendor related issues, and process improvement initiatives.
- Perform other legal tasks as directed by the General Counsel
What do we require from you?
- J.D. from an accredited law school.
- Licensed to practice law and in good standing in one or more states, preferably a state on the east coast (EST or CST time zone preferred).
- 3+ years of legal experience in a corporate environment or a law firm handling corporate related matters in the following areas:
- In-depth knowledge of the FAR/DFARS as well as those requirements unique to contracting with the Government.
- Have in-depth experience in proposal development, negotiations, contract performance and dispute resolution in connection with Government, international and commercial programs;
- Experience with international business development, contracting and regulatory compliance matters, including ITAR, EAR, FCPA, and trade compliance regulations;
- Ability to securely handle sensitive, confidential, and privileged information.
- Strong interpersonal and teamwork skills.
- Excellent oral and written communication skills, be able to clearly and effectively communicate with all levels of management, internal business partners, and Government agency personnel, including DCAA and DCMA;
- Superior attention to detail and accuracy.
- Able to analyze complex legal issues and advise on appropriate corporate response.
- Strong experience with common business software tools, such as Microsoft Office (Word, Outlook, PowerPoint, Excel).
- Hands-on experience drafting, negotiating, and managing all aspects of technology transactional contracts from the cradle to grave.
- Self-motivated and pro-active with the ability to multi-task and balance constant and competing priorities to help drive forward corporate initiatives.
- Must be a team-player with the ability to assist teammates with competing priorities, and the ability to mentor junior legal staff.
- Must be able to work independently, manage day-to-day contract reviews, and interface with all relevant internal teams and external business partners, with minimal supervision.
- Must currently hold and be able to maintain a DoD Secret level security clearance.
